1. Acceptance of Terms
These Terms of Service ("Terms") are a binding agreement between you and RIVO ("we", "us", or "our"). You accept these Terms by checking the acceptance box presented when you create an account or sign in, or by otherwise accessing or using the service. We keep a record of the version of these Terms you accepted and when. Our Acceptable Use Policy and Privacy Policy are incorporated into these Terms by reference. If you do not agree to these Terms, do not use the service. RIVO is operated by an independent creator, and by using the service you acknowledge and agree to the terms herein.
2. Description of Service
RIVO is an AI studio providing users with tools to generate images and videos via artificial intelligence. Users can subscribe to acquire credits and optionally purchase additional credit packs. Different generation actions consume varying amounts of credits based on the model and settings. RIVO acts as an orchestration layer that routes your generation requests to third-party AI infrastructure providers. The quality, speed, and availability of generations are directly dependent on these external providers and cannot be guaranteed by RIVO.
3. Subscriptions and Credits
- Credit System: Generation costs vary based on the AI model selected, output type, duration, and resolution. The number of credits consumed per generation is determined by RIVO and may be updated over time as our infrastructure and third-party API costs evolve.
- Failed Generations: Credits are only deducted upon a successful generation. If a generation fails due to a technical error on our end or a third-party provider error (e.g., queue capacity limits, provider outages, or internal server errors), no credits will be charged to your account. However, we cannot guarantee that every generation attempt will succeed.
- AI Assistant Usage: Prompt Enhance, Brain and Threads Copilot are available on paid plans and share a monthly AI-usage allowance that varies by plan (Starter runs on light models only; Creator and Studio include larger allowances and all chat models). When that allowance is reached, Brain and Threads Copilot continue on a standard fast model and Prompt Enhance pauses until the allowance resets the following cycle. AI assistant usage is separate from generation credits and does not deduct them. We may adjust these allowances over time as described in Section 4.
- Content Deletion: When you delete a space, script, scene, generation, or uploaded asset, the corresponding files are permanently removed from our storage systems.
- Cancellation Policy: You may cancel your subscription at any time. Upon cancellation, you keep paid plan benefits through the end of the billing cycle already paid for. After that, paid benefits and monthly credit grants stop, but your existing unused credits remain on your account. Canceling does not delete your projects or creations unless you remove them yourself. If you later subscribe to a plan whose rollover cap is below your retained plan-credit balance, we do not remove the excess; future monthly grants pause until that balance drops below the new plan cap.
- Post-Cancellation Access: Credits retained after cancellation can be used subject to the limits, model access, and features available without an active paid subscription. Credit packs remain separate from plan rollover caps.
- Refunds: All purchases of subscriptions and ad-hoc credit packs are final and non-refundable.
4. Pricing & Plan Modifications
We reserve the right to change subscription prices, credit pack prices, included credit amounts, plan features, and any other commercial terms at any time. When we make material changes to pricing or plan benefits, we will make reasonable efforts to notify active subscribers at least 30 days in advance via email or an in-app notice.
- Price Increases: If we increase the price of a subscription plan, the new price will take effect at the start of your next billing cycle following the notice period. Continued use of the service after the new pricing takes effect constitutes acceptance of the updated pricing.
- Plan Benefit Changes: We may at any time alter the features, credit allocations, usage limits, or any other benefits associated with any subscription plan. This includes reducing or increasing the number of credits included in a plan, adjusting rate limits, or modifying access to specific AI models or features.
- Credit Pack Prices: The price of one-time credit packs may change at any time without prior notice. Previously purchased credit packs are not affected by subsequent price changes.
- AI Model Availability: The AI models available within RIVO depend on third-party API providers. We do not guarantee the permanent availability of any specific model. Models may be added, modified, deprecated, or removed at any time, which may affect the credit cost of certain generation types. We will make reasonable efforts to communicate significant model changes in advance where possible.
- No Refunds for Plan Changes: If a plan is modified or a price changes, no refunds or credits will be issued for previously paid subscription periods or for credits already included in a plan.
5. AI Generation Infrastructure & Third-Party Providers
RIVO integrates with third-party AI infrastructure providers to process your requests: image and video generation runs through providers such as Replicate, and the text-based AI assistants (Prompt Enhance, Brain, and Threads Copilot) run through an AI gateway (such as the Vercel AI Gateway) that routes prompts to large-language-model providers including Anthropic, OpenAI, and Google. By using RIVO, you acknowledge and agree to the following:
- Data Transmission to Providers: When you submit a generation request, your prompt text, reference images, and other generation parameters are transmitted to third-party AI providers for processing. These providers operate under their own terms of service and privacy policies. RIVO is not responsible for how these providers store or handle your submitted data on their end.
- No Guarantee of Output Quality: AI-generated content is inherently unpredictable. RIVO does not guarantee that any generation will meet your expectations in terms of quality, accuracy, style, or resemblance to any reference material provided. Credits consumed for a successful generation are non-refundable regardless of whether the output meets your satisfaction.
- Asynchronous Processing: Generation requests are processed asynchronously. Completion times vary based on model complexity, selected settings, and current demand on third-party provider infrastructure. RIVO does not guarantee specific generation completion times.
- Provider Limitations & Outages: Generation availability may be temporarily limited or unavailable due to capacity constraints, maintenance, or outages at the level of our third-party AI providers. RIVO is not liable for any downtime, delays, or generation failures caused by these providers.
- Model Deprecation: Third-party providers may deprecate or modify AI models at any time. When this occurs, the corresponding model may be removed from RIVO without prior notice. We will make reasonable efforts to communicate such changes.
6. User Content: Ownership, License & Responsibility
- Your Content: You retain ownership of the assets, images, videos, audio, scripts, and other materials you upload ("Input Content") and of the generations you create through RIVO ("Output Content"), subject to the inherent limitations of AI-generated copyright laws in your jurisdiction.
- License to RIVO: By uploading Input Content or creating Output Content, you grant RIVO a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display that content solely as necessary to operate, provide, and improve the service — including transmitting it to the third-party AI providers described in Section 5. This license ends when you delete the content or your account, except where retention is required by law or where copies persist in routine backups for a limited period. We do not use your content to train our own models and we claim no ownership over it.
- Your Representations & Responsibility: You represent and warrant that you own or have obtained all rights, licenses, and consents necessary for the Input Content you upload and the prompts you submit, and that neither your content nor your use of the service violates any law or any third party's rights (including copyright, trademark, privacy, and publicity rights). You are solely responsible for your Input Content, your prompts, your Output Content, and any use or publication you make of them. RIVO does not pre-screen user content, acts solely as a technology provider, and assumes no responsibility or liability for content uploaded or generated by users.
- Inactive Account Deletion: We reserve the right to permanently delete the file history, projects, and generated content of inactive accounts — defined as accounts without an active subscription and without any recorded login activity — after 12 months of inactivity. You are solely responsible for manually backing up any content you wish to keep long-term. Deleting a project or generation yourself permanently removes the associated files from storage.
- Right to Delete Any Account Data: Regardless of account activity status, RIVO reserves the right to delete, restrict access to, or permanently remove any content, projects, or account data at any time and without prior notice if we determine, at our sole discretion, that: (a) the account has been used to generate harmful, illegal, explicit, or otherwise policy-violating content; (b) the account poses a security risk to the platform or other users; (c) the account exhibits extended inactivity patterns inconsistent with active use; or (d) any other circumstances that, in RIVO's sole judgment, warrant data removal to protect the integrity and safety of the platform.
7. AI-Generated Output Disclaimer
Artificial intelligence is probabilistic by nature. You acknowledge and agree that:
- Output May Be Inaccurate: Output Content may be incorrect, incomplete, offensive, biased, or otherwise not fit for your intended purpose, and may unintentionally resemble existing works, brands, or real people. Nothing generated by RIVO constitutes professional, legal, medical, or financial advice.
- You Must Review Before Use: You are solely responsible for reviewing Output Content and for verifying its accuracy, legality, and suitability before using, publishing, or distributing it. Any use you make of Output Content is at your own risk and under your own responsibility.
- No Exclusivity: Due to the nature of generative AI, other users may receive identical or similar outputs from similar prompts. The copyright status and protectability of AI-generated content varies by jurisdiction and is not guaranteed by RIVO.
- No Liability for Output: To the maximum extent permitted by law, RIVO disclaims all liability arising from Output Content or from your use, publication, or distribution of it.
8. Acceptable Use
Your use of RIVO is governed by our Acceptable Use Policy, which is incorporated into these Terms by reference and details the content and conduct prohibited on the platform — including illegal content, content that sexualizes minors, non-consensual intimate imagery, deceptive impersonation, intellectual-property infringement, and abuse of our systems. We reserve the right to suspend, block, or terminate accounts immediately and without notice — with forfeiture of remaining credits and without refund — for violations of the Acceptable Use Policy or abuse of the API.
9. Copyright Complaints
We respect intellectual-property rights and expect users to do the same. If you believe content stored or generated on RIVO infringes your copyright, notify us through the in-app feedback form with enough detail to identify the content, proof of your ownership, and your contact information. We will review valid notices and may remove the content and suspend or terminate repeat infringers.
10. Service Availability & Modifications
We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. This includes but is not limited to changes in service features, available AI models, and any infrastructure underlying the platform. We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the service.
11. Disclaimer of Warranties ("AS IS")
Our service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the service will meet your requirements or that the service will be uninterrupted, timely, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by applicable law, RIVO and its creator(s) shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall our aggregate liability exceed the amount you paid us in the past 12 months.
13. Indemnification
You agree to indemnify, defend, and hold harmless RIVO and its independent creator from any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) any Input Content you upload and any prompts you submit; (c) your use, publication, or distribution of Output Content; (d) your violation of any third party's rights, including intellectual-property, privacy, or publicity rights; (e) your violation of any applicable law; or (f) your violation of these Terms or the Acceptable Use Policy.
14. Changes to Terms
At our sole discretion, we may modify or replace these Terms of Service at any time by posting a notice on the RIVO website or by sending you an email. We may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Service periodically for changes. Your continued use of the service following the posting of any changes constitutes acceptance of those changes.
