Terms of Service

1. Acceptance of Terms

By accessing and using RIVO ("we", "us", or "our"), you agree to comply with and be bound by these Terms of Service. If you do not agree, please do not use our application. RIVO is operated by an independent creator, and by using the service, you acknowledge and agree to the terms herein.

2. Description of Service

RIVO is an AI studio providing users with tools to generate images and videos via artificial intelligence. Users can subscribe to acquire credits and optionally purchase additional credit packs. Different generation actions consume varying amounts of credits based on the model and settings. RIVO acts as an orchestration layer that routes your generation requests to third-party AI infrastructure providers. The quality, speed, and availability of generations are directly dependent on these external providers and cannot be guaranteed by RIVO.

3. Subscriptions and Credits

• Credit System: Generation costs vary based on the AI model selected, output type, duration, and resolution. The number of credits consumed per generation is determined by RIVO and may be updated over time as our infrastructure and third-party API costs evolve.
• Failed Generations: Credits are only deducted upon a successful generation. If a generation fails due to a technical error on our end or a third-party provider error (e.g., queue capacity limits, provider outages, or internal server errors), no credits will be charged to your account. However, we cannot guarantee that every generation attempt will succeed.
• Cancellation Policy: You may cancel your subscription at any time. Upon cancellation, your existing unused credits will remain valid for exactly 2 months from the end of your billing cycle.
• Credit Expiration: If you fail to renew an active subscription within 2 months of cancellation, your unused credits will be permanently forfeited.
• Refunds: All purchases of subscriptions and ad-hoc credit packs are final and non-refundable.

4. Pricing & Plan Modifications

We reserve the right to change subscription prices, credit pack prices, included credit amounts, plan features, and any other commercial terms at any time. When we make material changes to pricing or plan benefits, we will make reasonable efforts to notify active subscribers at least 30 days in advance via email or an in-app notice.

• Price Increases: If we increase the price of a subscription plan, the new price will take effect at the start of your next billing cycle following the notice period. Continued use of the service after the new pricing takes effect constitutes acceptance of the updated pricing.
• Plan Benefit Changes: We may at any time alter the features, credit allocations, usage limits, or any other benefits associated with any subscription plan. This includes reducing or increasing the number of credits included in a plan, adjusting rate limits, or modifying access to specific AI models or features.
• Credit Pack Prices: The price of one-time credit packs may change at any time without prior notice. Previously purchased credit packs are not affected by subsequent price changes.
• AI Model Availability: The AI models available within RIVO depend on third-party API providers. We do not guarantee the permanent availability of any specific model. Models may be added, modified, deprecated, or removed at any time, which may affect the credit cost of certain generation types. We will make reasonable efforts to communicate significant model changes in advance where possible.
• No Refunds for Plan Changes: If a plan is modified or a price changes, no refunds or credits will be issued for previously paid subscription periods or for credits already included in a plan.

5. AI Generation Infrastructure & Third-Party Providers

RIVO integrates with third-party AI infrastructure providers (including but not limited to Replicate) to process your generation requests. By using RIVO, you acknowledge and agree to the following:

• Data Transmission to Providers: When you submit a generation request, your prompt text, reference images, and other generation parameters are transmitted to third-party AI providers for processing. These providers operate under their own terms of service and privacy policies. RIVO is not responsible for how these providers store or handle your submitted data on their end.
• No Guarantee of Output Quality: AI-generated content is inherently unpredictable. RIVO does not guarantee that any generation will meet your expectations in terms of quality, accuracy, style, or resemblance to any reference material provided. Credits consumed for a successful generation are non-refundable regardless of whether the output meets your satisfaction.
• Asynchronous Processing: Generation requests are processed asynchronously. Completion times vary based on model complexity, selected settings, and current demand on third-party provider infrastructure. RIVO does not guarantee specific generation completion times.
• Provider Limitations & Outages: Generation availability may be temporarily limited or unavailable due to capacity constraints, maintenance, or outages at the level of our third-party AI providers. RIVO is not liable for any downtime, delays, or generation failures caused by these providers.
• Model Deprecation: Third-party providers may deprecate or modify AI models at any time. When this occurs, the corresponding model may be removed from RIVO without prior notice. We will make reasonable efforts to communicate such changes.

6. Content Ownership and Storage

• Your Content: You retain ownership of the generations you create through RIVO, subject to the inherent limitations of AI-generated copyright laws in your jurisdiction.
• Inactive Account Deletion: We reserve the right to permanently delete the file history, projects, and generated content of inactive accounts — defined as accounts without an active subscription and without any recorded login activity — after 12 months of inactivity. You are solely responsible for manually backing up any content you wish to keep long-term.
• Right to Delete Any Account Data: Regardless of account activity status, RIVO reserves the right to delete, restrict access to, or permanently remove any content, projects, or account data at any time and without prior notice if we determine, at our sole discretion, that: (a) the account has been used to generate harmful, illegal, explicit, or otherwise policy-violating content; (b) the account poses a security risk to the platform or other users; (c) the account exhibits extended inactivity patterns inconsistent with active use; or (d) any other circumstances that, in RIVO's sole judgment, warrant data removal to protect the integrity and safety of the platform.

7. Acceptable Use

You agree not to use RIVO to generate harmful, illegal, explicit, or copyright-infringing content. We reserve the right to suspend, block, or terminate accounts immediately and without notice that violate these guidelines or abuse the API.

8. Service Availability & Modifications

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with or without notice. This includes but is not limited to changes in service features, available AI models, and any infrastructure underlying the platform. We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the service.

9. Disclaimer of Warranties ("AS IS")

Our service is provided on an "AS IS" and "AS AVAILABLE" basis. We expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the service will meet your requirements or that the service will be uninterrupted, timely, secure, or error-free.

10. Limitation of Liability

To the maximum extent permitted by applicable law, RIVO and its creator(s) shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the service; (b) any conduct or content of any third party on the service; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall our aggregate liability exceed the amount you paid us in the past 12 months.

11. Indemnification

You agree to indemnify and hold harmless RIVO and its independent creator from any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service, or your violation of any term of these Terms.

12. Changes to Terms

At our sole discretion, we may modify or replace these Terms of Service at any time by posting a notice on the RIVO website or by sending you an email. We may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Service periodically for changes. Your continued use of the service following the posting of any changes constitutes acceptance of those changes.
